1. Name of club to be:
WROXHAM AND DISTRICT ANGLING CLUB
2. The objects for which the club is established are:
To carry on the business of a fishing club for the benefits of its members and to acquire by purchase, lease
or otherwise any lands, waters, or rights of fishing such as may be deemed by the club to advance said
objects.
3. Financial Year.
The clubs financial year for membership shall run from 1st April to the 31st March in any one year.
4. Subscriptions.
That for a person to be a member of the club they must pay a subscription as set out by The Management
Committee in one of the following categories:
1. Full member.
2. Concessionary Member.
3. Junior Member.
4. Club Official.
5. Member classification.
1. A Full member is classed as being between the ages of 18 to 64.
2. A Concessionary member is classed as being either aged 65+ or registered dis-abled.
3. A Junior members are classed as between the age of 10 and 17 inclusive. Juniors under the age of 10
may be registered as club members and are exempt from a membership fee.
4. A Club Official is classed as being a member of the Management committee.
6. Honorary / Complementary Member
An Honorary / Complementary Member is classed as a person who warrants free membership for services
rendered to the club. Said membership shall be granted at the digression of the Management committee.
7. The Management Committee.
The Management Committee shall consist of the Board of Officers, the Committee, and Club Bailiffs. The
Management Committee shall meet a minimum of four times a year. The purpose of said Committee is to
conduct the affairs of the club in accordance with the objects of the club and any resolutions passed at the
AGM. Committee members or other ordinary Members so authorised by the Committee shall not incur any
personal liability for any duties properly carried out on behalf of the Club. Any Officer so acting shall be
entitled to be indemnified from the Club Assets. The Committee shall manage the finances of the Club.
8. The Board of Officers.
The club shall have a Board of Officers to consist of:
1. Chairman
2. Vice Chairman
3. Membership Secretary
4. Club Treasurer
5. Match Secretary
6. Club Auditor
These Officers shall be appointed at the Annual General Meeting. No Member shall be eligible for a
nomination unless they have been a Member for at least one full year. Nominations to stand must be put
forward by either a full or concessionary member.
9. The Committee.
The club shall have a committee to consist of up to 8 Members. These Members shall be appointed at the
Annual General Meeting. No Member shall be eligible for a nomination unless they have been a Member
for at least one full year. Members of the Committee may elect to re-stand provided they have attended at
least three Management Committee meetings during the previous year. New nominations to stand must
be put forward by either a full or concessionary member and will be considered if there is a space
available.
10. Club Bailiffs.
The club shall have official club bailiffs appointed by the Board of Officers.
11. Club President / Vice-President.
The club may have an Honorary President and Vice-President nominated by the Management Committee
and confirmed at the AGM.
12. Annual General Meeting.
The Club shall hold an Annual General Meeting in February / March of each year and Notice thereof shall be
notified individually to members. The business of the Annual General Meeting shall be to:
1. Elect all the board of officers and committee as allowed in the articles of association.
2. Receive and, if thought fit, to sign off the financial report as presented by the Treasurer to the members.
3. Discuss the clubs facilities.
4. Discuss any Notices of resolution put forward and vote on them. Said resolutions if passed shall be acted
upon by the Management Committee and if necessary incorporated into the Articles of Association and /
or Club Rules as appropriate.
5. Transact any other business of which notice shall have been given in the AGM agenda.
13. Notices of resolution.
Notices of resolution, including those as to proposed alteration of the Articles of Association or Club rules,
must be forwarded to the Secretary 10 clear days before the Annual General Meeting for inclusion in the
Agenda at the AGM.
14. Votes / voting procedure.
Each Full Member, Concessionary Member and Club Official shall be entitled to one vote. Votes shall be
cast by a show of hands. Where there is more than one candidate for any position on the Board of Officers
or The Committee, to be successful a candidate must secure more than 50% of the total votes cast. In the
event that no candidate achieves 51% of the vote in the first ballot, a second ballot shall be held excluding
the candidate with the lowest vote in the first ballot. Further ballots shall be held as necessary, each time
excluding the candidate with the lowest vote, until a successful candidate emerges.
15. Minutes.
Minutes of the proceedings of every AGM of the club, and of every meeting of the Management
Committee, shall be recorded and kept and be signed by the Chairman of such meeting, or by the
Chairman of the succeeding meeting, or by a Members present at the meeting to which such minutes
relate; and such minutes, when so recorded and signed, shall be receivable as sufficient evidence of the
facts and proceedings therein recorded without further proof. The Management Committee shall have
power to determine to what extent, upon what conditions, and at what times (if any) the minute books
shall be open to the inspection of the Members.
16. Special General Meetings.
That a Special General Meeting may be called at any time by a majority of the Management Committee or
upon the request in writing (stating the object) of twenty or more Members sent to the Secretary. Notice
thereof to be given to the Members of the Club, expressing the object for which such a meeting is called,
not less than twenty one days thereafter.
17. Conditions of Membership
It is a condition of membership that the Articles of Association, Rules of the Club and the rules and byelaws
of the Environment Agency shall be observed. The Management Committee shall have power to suspend
and exclude from Membership any person found to have broken any Rules of the Club or byelaws or rules
of the Environment Agency. Any member, who has been convicted of a serious criminal offence warranting
a custodial sentence, may have his/her membership suspended and be excluded from membership by the
Management Committee.
18. Dissolution.
If at any Annual General Meeting of the Club a Notice of resolution be passed calling for the dissolution of
the Club, the Secretary shall immediately convene a Special General Meeting of the Club to be held not less
than one month thereafter to discuss and vote on the resolution. If at that Special General Meeting, the
Notice of resolution is passed by at least two thirds of the Members present at the meeting, the
Management Committee shall thereupon, or at such date as shall have been specified in the Notice of
resolution, proceed to realise all assets of the Club and discharge all debts and liabilities of the Club. After
discharging all debts and liabilities of the Club, the remaining assets shall not be paid or distributed
amongst the Members of the Club, but shall be given or transferred to some other voluntary organisation
or club having objects similar to those of the former WROXHAM AND DISTRICT ANGLING CLUB as agreed
by the Management Committee, said decision being final.
